Terms of service
These terms (the “terms”) form a binding agreement between you and Fixcodenow, Inc., a Delaware corporation (“Fixcodenow,” “we,” “our,” or “us”), and govern your use of the fixcodenow.com website and the Fixcodenow AI agent platform (together, the “service”). Please read them carefully.
Acceptance of terms
By creating an account, clicking “I agree,” or otherwise accessing or using the service, you agree to be bound by these terms and by our privacy policy, which is incorporated here by reference. If you are accepting these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and “you” refers to that entity as well as you personally. If you do not agree, do not use the service.
Eligibility
You must be at least eighteen years old to use the service. You represent that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. embargoes or comprehensive sanctions, and that you are not listed on any U.S. government list of prohibited or restricted parties. You may not use the service to evaluate it for the purpose of building a competing product.
Accounts
You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for any activity that occurs under your account. Notify us immediately at devin@fixcodenow.com if you suspect unauthorized use. One person may not maintain multiple free accounts, and you may not share a single account among multiple individuals.
The service
Fixcodenow provides an AI agent platform that lets you build, deploy, and operate software agents that combine large language models with tools and data sources. The features, models, and limits of the service may change over time; we will not remove or materially degrade a feature that is part of a paid plan during the current billing period without notice.
Acceptable use
You agree not to use the service to do anything illegal or that violates the rights of others. Without limiting that, you will not (a) infringe any intellectual property, privacy, publicity, or contractual right; (b) transmit malware or attempt to gain unauthorized access to any system; (c) probe, scan, or test the vulnerability of the service without our prior written consent; (d) reverse engineer, decompile, or attempt to derive the source code of the service except to the extent that applicable law expressly permits; (e) build a competing product or copy features for that purpose; (f) deploy agents that impersonate a person without disclosure, conduct unsolicited bulk messaging, generate child sexual abuse material, plan or facilitate violence, or harass others; (g) generate content used to commit fraud or defame an identifiable person; or (h) circumvent rate limits, usage caps, or security measures. We may suspend access to investigate suspected violations.
User content and inputs
You retain all rights in the prompts, files, data, and other content you submit to the service (“inputs”) and in the responses your agents produce (“outputs”). You grant Fixcodenow a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, display, and otherwise use inputs and outputs solely to operate, secure, and support the service for you. You represent that you have all rights necessary to submit your inputs and that doing so does not violate any law or third-party right.
AI outputs and accuracy
The service relies on machine-learning models that can produce inaccurate, incomplete, biased, or otherwise unreliable output. Outputs are not professional advice and are not a substitute for legal, medical, financial, or other expert judgment. You are responsible for reviewing outputs before relying on them and for the consequences of any action your agents take. Do not use the service to make decisions that require human review without putting a human reviewer in the loop.
Fees, billing, and cancellation
Paid plans are billed at the prices and on the cadence shown at checkout or in your order form. Unless stated otherwise, subscriptions renew automatically at the end of each term and you authorize us to charge your payment method. You may cancel renewal at any time through your account settings; cancellation takes effect at the end of the current billing period and fees already paid are non-refundable except where required by law. Usage-based charges accrue as you use the service and are billed in arrears. We may change pricing on notice; price changes apply at the start of your next renewal term. All amounts are exclusive of taxes, which you are responsible for paying.
Intellectual property
The service, including all software, models we develop, user interfaces, documentation, and the Fixcodenow name and marks, is and will remain the property of Fixcodenow and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the service in accordance with these terms. If you send us feedback, suggestions, or ideas about the service, you grant us an unrestricted, irrevocable, royalty-free license to use them for any purpose without obligation to you.
Confidentiality
Each party may receive non-public information about the other that is marked or reasonably understood to be confidential. Each party will protect the other’s confidential information with at least the same care it uses for its own and will use it only to perform under these terms. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was already known without obligation, is received from a third party without restriction, or is independently developed.
Third-party services
The service integrates with third-party products including model providers, data sources, identity providers, and payment processors. Your use of those products is subject to their terms and privacy policies. Fixcodenow is not responsible for third-party outages, errors, or actions, and we may add, remove, or replace integrations over time.
Term and termination
These terms remain in effect while you use the service. You may stop using the service and delete your account at any time. We may suspend or terminate your access immediately if you breach these terms, if your use poses a security or legal risk, or if we are required to do so by law. On termination, your right to use the service ends and we will, on request, make your inputs and outputs available for export for thirty days, after which we may delete them. Sections that by their nature should survive termination — including intellectual property, fees owed, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.
Disclaimers
Except to the extent prohibited by law, the service is provided on an “as is” and “as available” basis. Fixcodenow and its suppliers disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment. We do not warrant that the service will be uninterrupted, error-free, secure, or that any output will be accurate or reliable. You use the service at your own risk.
Limitation of liability
To the maximum extent permitted by law, in no event will Fixcodenow or its officers, directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to these terms or the service, whether based in contract, tort, strict liability, or any other theory, and whether or not we have been advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to these terms or the service will not exceed the greater of one hundred U.S. dollars or the amount you paid us for the service in the twelve months before the event giving rise to the claim. The limitations in this section apply even if a remedy fails of its essential purpose.
Indemnification
You will defend, indemnify, and hold harmless Fixcodenow and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your inputs, your use of the service, your violation of these terms, or your violation of any law or third-party right.
Governing law and venue
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Subject to the dispute resolution section below, the state and federal courts located in New Castle County, Delaware have exclusive jurisdiction over any dispute that is not subject to arbitration, and each party consents to personal jurisdiction and venue in those courts and waives any right to a jury trial.
Dispute resolution
Before filing any claim, you agree to try to resolve the dispute informally by emailing devin@fixcodenow.com with a description of the dispute and the relief you seek; the parties will negotiate in good faith for at least sixty days. If a dispute is not resolved through that process, it will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Wilmington, Delaware, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. You and Fixcodenow each agree that any dispute will be brought only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Either party may bring an individual action in small-claims court or seek injunctive relief in court for infringement or misuse of intellectual property without first arbitrating.
Changes to these terms
We may update these terms from time to time. If we make a material change we will notify you by email or with an in-product notice at least thirty days before the change takes effect. Your continued use of the service after the effective date constitutes acceptance of the updated terms; if you do not agree, stop using the service before that date.
Miscellaneous
These terms, together with the privacy policy and any order form that references them, are the entire agreement between you and Fixcodenow regarding the service and supersede any prior agreement on the same subject. If any provision is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Neither party is liable for a failure to perform caused by events beyond its reasonable control. Notices to Fixcodenow should be sent to devin@fixcodenow.com.
